Non-Disclosure Agreement (NDA)

What is a Non-Disclosure Agreement or NDA?

A Non-Disclosure Agreement, also known as a NDA, is a contract used to protect confidential information between two or more parties. It sets out the conditions under which such information will be shared and helps ensure that it is kept secret and used only for its intended purpose.

The purpose of a Non-Disclosure Agreement is to protect confidential information shared between the parties involved and to ensure that such information is not disclosed or used without the prior and explicit consent of all parties.

At LexDoka we have two NDA models, depending on who shares that secret information:

  • Mutual NDA: Both parties mutually share and protect sensitive information.
  • Unilateral NDA: One party shares confidential information and the other agrees to keep it secret.
